Affiliate Terms

1. Definitions

"InboxStack," "we," "us," or "our" means InboxStack and its affiliates.

"Affiliate," "you," or "your" means the individual or entity that has agreed to these Terms.

"Program" means the InboxStack Affiliate Program.

"Referral Link" means the unique URL generated by the Program dashboard for tracking referrals.

"Qualifying Purchase" means an eligible Paid Subscription (see §3.1) completed by a Referred Customer that meets all requirements in §4.

"Referred Customer" means a new InboxStack customer who: (i) clicks your Referral Link, (ii) completes account registration in the same browser session, and (iii) has not previously held any InboxStack-related account, mailbox, or trial in the preceding 12 months.

2. Enrollment & Acceptance

• Application Review: Submitting an application does not guarantee acceptance. We reserve absolute discretion to approve or reject any application.
• One Account Rule: One affiliate account per individual or entity. Duplicate or related accounts will be closed, and commissions void (§4.4).
• Accurate Information: You must maintain accurate details, including tax forms and payout information. Inaccuracies may delay or forfeit commissions.

3. Commission Structure

3.1 Eligible Transactions

• Only monthly InboxStack mailbox plans and pre-warmed mailbox purchases qualify.
• Annual subscriptions, quarterly subscriptions, add-ons, upgrades, or renewals are ineligible.

3.2 Commission Rate

Affiliates earn 10% of Net Revenue (gross minus taxes, credits, refunds, discounts) from each Qualifying Purchase.

3.3 First-Purchase Rule

Commissions apply only to the first Paid Subscription of each Referred Customer. Upgrades, renewals, add-ons, or subsequent purchases are excluded.

3.4 Final Say

InboxStack has the sole and final authority to determine whether a purchase qualifies for commission.

4. Eligibility Criteria

4.1 Valid Referrals

A referral is valid only if:

• The Referred Customer registers via your Referral Link,
• Completes checkout in the same browser session, and
• Does not request a manual discount, coupon, or override that replaces affiliate credit.

4.2 No Self-Referrals

Strictly prohibited. You cannot refer yourself, your employees, family, or entities under common ownership or control. Any violation results in termination and commission claw-back.

4.3 Related-Party Transactions

Referrals from entities or accounts connected to you are invalid.

4.4 Duplicate / Multiple Accounts

Commissions are paid only on the first workspace per customer/IP/email. Additional workspaces are marked duplicates and voided.

4.5 Prohibited Promotional Practices

• Cookie stuffing, link hijacking, or invisible iframes.
• False or misleading claims about InboxStack pricing, features, or capabilities.
• Search engine brand bidding or trademark use without approval.
• Spam or unsolicited bulk email not compliant with CAN-SPAM/GDPR.
• Posting Referral Links on coupon or deal websites without written approval.

Any prohibited practice may lead to immediate suspension (§9).

5. Refunds, Chargebacks & Cooling-Off

• Cooling-Off Period: Commissions are eligible for payout only 30 days after purchase.
• Refunds/Chargebacks: If a transaction is refunded, cancelled, or disputed within 90 days, the commission is void. Negative balances offset future payouts.
• Early Cancellation: If a customer cancels before their second billing cycle begins, the commission is void, even if the first billing cycle completed.
• Retroactive Adjustments: InboxStack reserves the right to retroactively correct errors, tracking issues, or fraudulent activity.

6. Payout Terms

• Schedule: Payouts are on a Net-60 cycle. Example: a January purchase clears March 1st and pays out March 15th.
• Threshold: Minimum payout is US$50. Balances below this roll over.
• Methods: Payouts are via Wise, PayPal, or wallet credits. All fees, taxes, and conversion costs are borne by you.
• Final Authority: InboxStack's internal accounting records prevail in case of disputes.

7. Marketing & Compliance

• Brand Assets: Use only approved logos and creatives. No modifications without consent.
• Honest Representation: Affiliates must describe InboxStack truthfully. Exaggeration, false claims, or fabricated statistics are prohibited.
• Legal Compliance: You are responsible for compliance with all applicable laws, including FTC guidelines, GDPR, and CAN-SPAM.

8. Data Protection & Confidentiality

• Customer and InboxStack data must be used solely for participation in the Program.
• No resale, sharing, or misuse of data.

9. Term & Termination

• At-Will: Either party may terminate at any time, with or without cause.
• For Cause: Immediate termination for fraud, abuse, breach of terms, or conduct harmful to InboxStack's reputation.
• Post-Termination: Affiliates must cease use of Referral Links and brand assets. Only commissions already approved for payout before termination will be paid. Pending or disputed commissions are forfeited.

10. Dispute Resolution

Disputes must be submitted in writing within 30 days of the event. InboxStack will make a good-faith determination, which shall be final and binding.

11. Amendments

InboxStack may revise these Terms at any time by posting an updated version. Unless urgent (e.g., abuse, fraud, legal requirements), changes take effect 7 days after posting.

12. Limitation of Liability

InboxStack's liability is capped at the total commissions paid in the 12 months preceding a claim.

13. Governing Law

These Terms are governed by the laws of Delaware, USA. Exclusive jurisdiction lies in the state or federal courts of Wilmington, Delaware.
